Human Rights Policy

The Chilled & Frozen (C&F) Logistics Holdings Group's basic management policy is to "fulfill our corporate social responsibilities and become a logistics company supported by all stakeholders" and "be a logistics company where employees have hope for the future and can work with enthusiasm." By respecting the human rights of our stakeholders, which is also part of our corporate social responsibilities, the Group aims to support the lives of as many people as possible through its business activities. Moreover, we seek to continue to be a corporate entity where all employees, the foundation of our business activities, can have hopes and dreams for tomorrow.

This is our basic policy for respecting human rights, guiding the actions of our organization and individuals. Furthermore, it functions as the Group's superseding policy with regard to all documents and norms regarding respect for human rights in its business activities, and it applies to all Group officers and employees. We also commit to compliance with the relevant laws and regulations of each country and region in which we operate, and pursue ways to respect and prioritize international norms when these are more rigorous than the relevant laws and regulations. We support and respect the protection of all our stakeholders' human rights and expect our business partners to understand, support, and act in accordance with this policy, encouraging the respect of human rights.

1. Basic Approach to Human Rights

We support international guidelines and activities such as the International Bill of Human Rights1 and the International Labour Organization (ILO) Declaration on Fundamental Principles and Rights at Work2 , and respect the human rights and diversity of individuals based on culture, religion, custom, and history.

1 The International Bill of Human Rights consists of the Universal Declaration of Human Rights, which sets out in detail the fundamental civil, cultural, economic, political, and social rights that all peoples should enjoy, and the International Covenant on Economic, Social and Cultural Rights and the International Covenant on Civil and Political Rights, two documents that make the aforementioned rights legally binding commitments.

2 The Declaration on Fundamental Principles and Rights at Work sets out minimal requirements for protection of worker fundamental rights, including: the freedom of association and the effective recognition of the right to collective bargaining; the elimination of all forms of forced or compulsory labor; the effective abolition of child labor, and; the elimination of discrimination in respect of employment and occupation.

2. Prohibition of Discrimination and Harassment

We shall not engage in discrimination or harassment of any person, in any way, with regard to race, ethnicity, nationality, religion, creed, place of origin, gender, age, disability, sexual orientation, gender identity, or others.

3. Prohibition of Forced Labor, Child Labor, and Human Trafficking

We shall not engage in any form of forced labor, child labor, or human trafficking, and we require that our business partners not engage in forced labor, child labor, or human trafficking.

4. Occupational Health and Safety

The Group regards the safety and health of its employees as one of its most important management issues. We take action to prevent occupational accidents and provide a comfortable workplace environment where all employees can work in safety and good health.

5. Transportation Safety

As a corporate entity involved in the freight forwarding business, the Group's mission is to fulfill its social responsibility by transporting our customers' goods safely, quickly, and reliably without incident. We take ownership of the responsibility to ensure the safety of local communities and devote all our efforts to eliminating traffic accidents.

6. Respect for Freedom of Association and the Right to Collective Bargaining

We respect fundamental rights related to labor, including the freedom of association and the right to collective bargaining.

7. Working Hours and Wages

We commit to compliance with all applicable laws and regulations regarding working hours and wages in the countries and regions in which we operate. We will strive to create an environment that enables more flexible work styles, including telecommuting. We will also work to prevent overwork by properly managing employee working hours and overtime hours and ensuring that appropriate working hours are observed. We will also strive to keep wage levels sufficient to provide our employees with a minimum standard of living.

8. Consideration for the Lifestyles and Cultures of Indigenous Peoples

When conducting business activities in areas inhabited by indigenous peoples or ethnic minorities, we shall recognize their unique cultures and histories and give consideration to the rights of indigenous peoples as stipulated by local laws and international standards.

9. Education

To ensure that this policy is incorporated into and effectively implemented in our business activities, we will translate it into languages as appropriate for each country and region in which we operate and provide sufficient opportunities for raising awareness and education for all officers and employees. In addition, we will strive to raise awareness of respect for human rights through harassment prevention training and diversity training.

10. Mechanism for Handling Complaints

In order to prevent human rights violations, the Group has established internal reporting contact points both within the Group and externally. Upon receiving a report, the Group investigates the content of the report and, if a problem is identified, takes prompt action and corrective measures. In addition, a contact point has been established on the Group's corporate website allowing all stakeholders to submit any concern or complaint they may have. Any person submitting a report shall not be subject to disadvantageous treatment.

11. Remedy

If it becomes clear that the Group has caused negative impact on human rights in our business activities or that we have been involved through business partners or other parties, we will work diligently to remedy the situation through dialogue and appropriate procedures.

12. Information Disclosure and Dialogue

We will disclose the progress and results of our own efforts to respect human rights via our corporate website and other channels. In addition, we will endeavor to engage in dialogue with relevant stakeholders in order to appropriately identify and respond to the impacts of human rights.

The mission of Chilled & Frozen (C&F) Logistics Holdings and its Group companies involved in the freight forwarding business is to fulfill its social responsibility by transporting our customers' goods safely, quickly, and reliably without incident.

Based on our management philosophy that "ensuring safety shall be the basis of all our operations," C&F Logistics Holdings and its Group companies shall make every effort to eliminate traffic accidents and occupational accidents. These not only cause personal, material, and emotional damage to the people involved and their families, but also reputational damage to customers and companies, endangering the companies' very existence.

The Safety Management Regulations, which call for the following actions, have been established to ensure the smooth implementation of the Basic Safety Policy by C&F Logistics Holdings and its Group companies.

1. We shall ensure that each department complies with all relevant laws and regulations and the principle of safety first.
2. We shall establish a safety policy and disseminate it to each department.
3. We shall set safety targets at each sales office to implement specific measures in accordance with the safety policy.
4. We shall ensure responses to serious accidents.
5. We shall establish, implement, and maintain a transportation safety management system and provide the necessary management resources (personnel, information, equipment, etc.) to ensure transportation safety.
6. We shall continuously improve the transportation safety management system through periodic reviews.

The Chilled & Frozen (C&F) Logistics Holdings Group regards the safety and health of its employees as one of its most important management issues, and conducts its corporate activities in accordance with this policy, as follows.

1. By eliminating hazards and reducing occupational health and safety risks identified through risk assessments and workplace patrols, we prevent work-related injuries and illnesses and provide a comfortable workplace environment where all employees can work in safety and good health.
2. Founded in our recognition that smooth communication is important in the workplace, we shall promote the occupational health and safety management system with the united participation of all labor and management through ongoing discussions with workers and their representatives.
3. We shall commit to compliance with all laws, regulations and internal rules related to occupational health and safety, as well as any other requirements to which the Group has consented.
4. We shall provide all employees with necessary and sufficient education and training to ensure occupational health and safety.
5. We shall disseminate and raise awareness of the importance of occupational health and safety among all employees.
6. Occupational health and safety targets shall be set within each Group company and department, and these shall be periodically checked for progress as each unit strives to achieve these targets.
7. We shall regularly review our occupational health and safety management system and consistently implement effective improvements.

Environmental Policy

As a logistics company focused on low-temperature logistics, the Chilled & Frozen (C&F) Logistics Holdings Group is able to do business thanks to the bounties provided by Earth, and we recognize that preserving the global environment in order to sustain our business activities is an important management issue for the Group.

In order to achieve the Group's vision "to become a logistics company supported by all stakeholders," which is stated in its basic management policies, we will fulfill our social responsibility as a logistics company for chilled and frozen food products by complying with various laws, regulations, and international agreements regarding environmental conservation, working to conserve the global environment, and contributing to the realization of a sustainable society.

1. Maintenance and Improvement of Environmental Management

Our top management, the final decision-makers for business execution in corporate management, shall take responsibility for climate-related issues based on the recognition that climate-related issues are important management issues, and shall develop and continuously and efficiently improve the environmental management system. In addition, the Board of Directors shall deliberate on and monitor important matters related to climate change.

2. Provision of Sustainable Services

We shall further promote joint delivery logistics, the foundation of the Group's business, to provide sustainable services by reducing the number of vehicles used for delivery and improving vehicle load efficiency.

3. Sustainable Procurement

We shall conduct environmentally responsible procurement in accordance with the Group's basic procurement policy.

4. Reduction of Greenhouse Gas Emissions

We shall promote the introduction of low-carbon transportation methods and equipment with low environmental impact, striving to reduce greenhouse gas emissions.

5. Prevention of Environmental Pollution

We shall strive to prevent pollution of air, water and soil, and manage hazardous chemical substances appropriately.

6. Effective Use of Energy

We shall work to reduce energy use, make effective use of energy, and promote the introduction of renewable energy.

7. Effective Use of Resources

We shall strive to make effective use of resources necessary for our business activities, including water and raw materials.

8. Reduction of Waste

We shall reduce waste and promote its effective use.

9. Respect for Biodiversity

As a company that handles food, we recognize that biodiversity is essential, and we shall therefore work toward its conservation.

10. Provision of Environmental Education

We shall strive to raise awareness of environmental issues by providing all officers and employees with environmental education opportunities aimed at preventing global warming and environmental pollution.

11. Information Disclosure and Cooperation

We shall strive to proactively disclose climate-related information. In addition, we shall endeavor to implement environmentally friendly initiatives through cooperation with a diverse set of stakeholders.

12. Involvement with Industry Associations

We shall fairly comply with the industry association agreements on climate change. Furthermore, we shall work to promote the climate change-related improvement activities of industry associations. Where necessary, we shall make recommendations to industry associations when our position is not aligned with the respective associations.

The Chilled & Frozen (C&F) Logistics Holdings Group has set forth "the realization of an integrated logistics and information company whose core-business is the low-temperature zone shipping and storage of food products in the globally developing market" as its ideal state, and recognizes that the social issues facing the world are important issues for the Group.

We believe that it is essential to make efforts throughout the entire supply chain to achieve the Sustainable Development Goals (SDGs) agreed upon by the international community in 2015 and will strive for fair, equitable, and responsible procurement in compliance with the relevant laws and regulations of each country and region in consideration of various social issues including human rights, labor, and the global environment. In addition, we will actively encourage all of our suppliers, both in Japan and overseas, to express their support for and understand this policy.

Anti-Corruption Policy

In its basic management policies, the Chilled & Frozen (C&F) Logistics Holdings Group states that "by realizing added value related to logistics and further strengthening logistics quality, we will keep enhancing corporate value." To improve corporate quality, which is the foundation of logistics quality, we will work to prevent corruption and bribery, and promote management with full awareness of compliance and corporate governance. We will also comply with the relevant laws and regulations of each country and region in which we operate, and ensure that corporate ethics are thoroughly upheld.

1. Prohibition of Corrupt Practices

We shall not provide, offer, promise, accept, or demand any form of bribe, directly or indirectly, from any person, nor shall we practice collusion or corruption with the same. We also shall not accept or offer entertainment, gifts, favors, or other benefits that exceed the bounds of socially accepted norms. Furthermore, we shall comply with the Antimonopoly Act and shall not engage in any transactions that use our dominant position to put others at an unfair disadvantage.

2. Prevention and Early Detection of Corrupt Practices

To ensure early detection and appropriate response to violations or potential violations of anti-corruption laws and regulations, we have established internal reporting contact points both within the Group and externally. Upon receiving a report, we investigate the content of the report and, if a problem is identified, take prompt action and corrective measures. Any person submitting a report shall not be subject to disadvantageous treatment.

3. Measures Against Violations

In the event of a violation of this policy or the corruption-related laws and regulations of each country or region, we will take strict disciplinary and other action, as well as cooperate with investigations by the relevant authorities, in accordance with internal rules.

4. Prohibition of Money Laundering and Providing Benefits to Anti-social Organizations

We shall have no involvement in any money laundering or the provision of benefits to anti-social organizations.

5. Education and Training

We shall strive to disseminate this policy to all of our officers and employees by providing education and training on anti-corruption including awareness of the whistleblowing system.

6. Proper Management of Records

Under our internal control system, we shall accurately take records of accounting ledgers and others based on facts and properly retain and manage the related forms.

The Chilled & Frozen (C&F) Logistics Holdings Group believes that appropriately paying taxes plays an important role in economic and social development and that it will help the Group to become a "logistics company supported by all stakeholders." We shall pay our taxes appropriately and transparently in accordance with the tax laws and regulations of each country and region in which we operate, as well as the tax laws and regulations published by international organizations such as the OECD. In addition, we shall not apply tax treatment based on an interpretation that diverges from the law.

1. Engagement with Tax Authorities

We shall respond appropriately to requests for information disclosure from tax authorities in each country and region.

2. Transfer Pricing

We shall appropriately pay taxes in accordance with the laws and regulations of each country and region and shall not take unnecessary tax risks. In addition, we shall comply with the OECD Transfer Pricing Guidelines for cross-border transactions between our Group companies, and we shall appropriately set prices and pay taxes accordingly.

3. Application of Tax Treatment

We shall apply the appropriate tax treatment in compliance with the tax laws and regulations of each country and region. We shall not apply tax treatment based on an interpretation that diverges from the law.

4. Tax Havens

We shall not use tax havens for tax avoidance purposes.
